QSync Pro End-User License Agreement (EULA)

1. Acceptance of Terms

By accessing or using QSync Pro (“the App”), you agree to be bound by this End-User License Agreement (“EULA”). If you do not agree to these terms, do not use the App.

2. License Grant

We grant you a limited, non-exclusive, non-transferable license to access and use the App solely for your internal business purposes with your QuickBooks Online account. You may not copy, modify, distribute, or create derivative works of the App.

3. Restrictions

You agree not to:

• Reverse engineer, decompile, or disassemble the App.
• Access the App using another user’s account without permission.
• Use the App for any unlawful or unauthorized purpose.

4. User Data and Privacy

Your use of the App is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information.

5. Intellectual Property Rights

All rights, title, and interest in and to the App, including all intellectual property rights, are and will remain the exclusive property of QSync Pro. This EULA does not grant you any rights to our trademarks or service marks.

6. Termination

We reserve the right to terminate or suspend your access to the App immediately, without prior notice, if you breach any terms of this EULA or fail to pay any fees due. Upon termination:

• You must cease all use of the App.
• We may retain your data for up to one year after termination.
• Any outstanding fees become immediately due.

7. Disclaimer of Warranties

The App is provided “as is” and “as available” without warranties of any kind, either express or implied. We do not warrant that the App will be uninterrupted or error-free.

8. Limitation of Liability

In no event shall QSync Pro be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the App.

9. Dispute Resolution

Any disputes arising out of or relating to this EULA shall be resolved by binding arbitration under the laws of the State of Ohio, USA.

10. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the State of Ohio, USA.

11. Changes to this EULA

We may update this EULA from time to time. We will notify you of any changes by email. Continued use of the App after any such changes shall constitute your consent to such changes.
